Hall sued Oates for being ‘Out of Touch’ with business agreement, unsealed docs show

A private eye now explores the inner workings of the legal rift between legendary soft rock duo Hall and Oates.

Daryl Hall, 77, sued John Oates, 75, Oates’ wife, and another trustee earlier this month, alleging Oates’ plans to sell his share of the joint venture would violate their business agreement, court documents reveal.

A Nashville judge who temporarily blocked Oates’ motion on Wednesday ordered more documents in the case to be released after a lawsuit filed under seal on Nov. 16 obscured details of the case.

Now, unsealed records show that Chancellor Russell Perkins issued a temporary restraining order against Oates and his trust to halt the sale of his Whole Oats Enterprises LLP stake to Primary Wave Music for 15 days or until an arbitrator makes a decision.

The suit was first filed after Oates performed a solo show in which he sang songs Hall took credit for writing.

A source familiar with the conflict has told TMZ that the legal battle is about “the ground rules of who gets to sing as a solo artist, along with money issues of course.”

Lawyers for Hall have moved to block certain filings of the lawsuit, arguing it was a personal matter between the singers, who are best known for ’70s and ’80s yacht rock hits like “You Make My Dreams (Come True)” and ” Rich Girl.”

Although Perkins ordered some of the filings open, they did not reveal exactly what was at stake in the lawsuit.

In the suit, Hall’s lawyers allege Oates and his team violated confidentiality provisions by sharing their business arrangements in a letter of intent to Primary Wave, which they say should legally negate the sale.

“The entire Unauthorized Transaction was the result of an undisputed breach of contract,” Hall alleged, according to the filing.

The case will now be heard during a court hearing on Nov 30.

Primary Wave has held a “significant interest” in the group’s catalog for more than 15 years, according to the filing.

In 2021, Hall told Sky News that he was unhappy with past arrangements, as he warned artists to hold on to their publishing rights, saying “all you have is that.”

“Oh, in the early days, it was sold for me and I didn’t get the money,” he said.

Hall and Oates met in Philadelphia in the late 60s, when they both attended Temple University. They went on to release 18 albums and have 16 top 10 and top 6 hits on the charts, according to Billboard.

They were inducted into the Rock & Roll Hall of Fame in 2014.

“We had a really good problem getting that many songs,” Oates said before the duo brought their show back in 2021, after their tour was halted by COVID-19.

“Believe me, it’s not a chore to play those songs because they’re so great.”

In 2015, the two teamed up to sue a Brooklyn-based food company that sold a granola snack called Haulin’ Oats.
